1. ACCEPTANCE OF TERMS

Welcome to Above Promotions LLC (“Company,” “Above Promotions,” “we,” “us,” or “our”). By accessing or using our primary website at abovepromotions.com (the “Site”) or contracting for any services, consultative engagements, or digital products, you (“Client,” “User,” or “you”) agree to be bound by these Terms of Use & Service Agreement (“Terms”).

If you do not agree to all of these Terms, you must immediately discontinue use of the Site and our services.

2. ORGANIZATION STRUCTURE & DIVISIONAL SERVICES

Above Promotions LLC operates four specialized business divisions:

Impact Studio: Strategic storytelling, content engine creation, photography, videography, AR/MR experience design, and campaign messaging (“We turn your work into content that converts”).
Innovation Lab: Systems integration, MarTech stack optimization, custom web application development, market research via AI/IoT, and automated workflows (“We build and implement systems that improve performance”).
Skills Development Hub: Professional workforce training, AI enablement, corporate learning programs, and digital accelerators (“We train teams to use AI + tools effectively”).
Strategic Insights Center: Executive governance, AI compliance, risk mitigation, reputation/crisis management, and high-stakes strategic advisory (“We guide executives through risk, compliance, and high-level decisions”).

3. PROFESSIONAL DISCLAIMERS & FINANCIAL OUTCOMES

No Financial or Legal Guarantees: Strategic advice, market forecasts, MarTech audits, and performance frameworks provided by Above Promotions are designed for growth and operational clarity. However, market conditions, execution, and client variables differ. Above Promotions makes no explicit or implicit guarantee of specific financial earnings, revenue thresholds, sales conversion rates, or client growth metrics.
Non-Legal & Non-Accounting Advisory: Advice provided through the Strategic Insights Center or Innovation Lab regarding AI compliance, data privacy (NIST/CISA guidelines), or tax/business structures is for operational governance purposes only and does not constitute formal legal counsel or CPA auditing. Clients must consult their own licensed legal counsel and certified public accountants for regulatory filings.

4. INTELLECTUAL PROPERTY & PROPRIETARY FRAMEWORKS

Company Ownership: All content, software, code, proprietary frameworks (including the Marketing Accelerator), custom methodologies, brand guides, videos, text, graphics, and trade secrets created by or belonging to Above Promotions LLC remain the exclusive intellectual property of Above Promotions LLC, protected under US and international USPTO copyright, trademark, and trade secret laws.
Client Work Product: Ownership of final custom client deliverables (e.g., bespoke web code, custom video assets) is transferred to the Client only upon full payment of all agreed fees under an executed Master Services Agreement (MSA) or Statement of Work (SOW). Above Promotions retains ownership of all underlying pre-existing materials, proprietary tools, AI prompt libraries, and methodologies used during service delivery.

5. AI-ASSISTED OUTPUTS & CUSTOMER RESPONSIBILITY

Above Promotions utilizes advanced Artificial Intelligence (AI) and Machine Learning (ML) technologies within its Innovation Lab, Impact Studio, and training modules.

Accuracy & Human Oversight: While AI tools enhance analytical and creative workflows, AI-generated outputs may occasionally contain errors or hallucinations. Above Promotions enforces rigorous human oversight, but Clients are responsible for verifying final strategic applications within their specific operational domains.
Data Security & Model Training: Above Promotions does not feed Client confidential data into public, non-secure AI models. Client data processed through enterprise AI agents adheres to NIST AI Risk Management Framework guidelines.

6. GOVERNING LAW, JURISDICTION & BINDING ARBITRATION

Florida Law: These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
Mandatory Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or services provided by Above Promotions LLC shall be submitted to binding arbitration in Hillsborough County, Florida or Pasco County, Florida in accordance with the commercial arbitration rules of the American Arbitration Association (AAA).
Waiver of Jury Trial & Class Action: You explicitly agree to resolve all disputes on an individual basis and waive any right to bring or participate in a class-action lawsuit, class arbitration, or jury trial.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Above Promotions LLC, its founder, officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data loss, business interruption, or system downtime arising out of or in connection with the Site, services, or reliance on provided frameworks. In no event shall Above Promotions LLC’s total aggregate liability exceed the total amount paid by the Client to Above Promotions LLC in the three (3) months preceding the event giving rise to the claim.

8. FOUNDER EXIT-READY PROVISIONS & ASSIGNMENT

Above Promotions LLC operates under enterprise-grade Standard Operating Procedures (SOPs) designed for long-term scalability and exit readiness.

Assignment Rights: Above Promotions LLC reserves the right to assign, transfer, or convey its rights, duties, and obligations under these Terms, in whole or in part, in connection with any corporate reorganization, merger, acquisition, sale of assets, or change of control, without requiring prior written consent from Clients or Site Users.
